1. Introduction
These Terms of Service govern your engagement with OMBRAL LOGIC SYSTEMS for property management (NAICS 531311) and real estate consulting (NAICS 531390) services. By executing a management agreement or advisory contract, you agree to these baseline operational terms.
2. Property Management Master Agreements
Our standard property management engagements are governed by bespoke Master Management Agreements (MMAs). These terms outline our authority to collect rents, execute maintenance expenditures up to a pre-authorized limit, and act as the landlord's agent in lease execution and eviction proceedings.
3. Consulting & Advisory Scope
Real estate advisory services, including acquisition underwriting and rent roll optimization modeling, are provided for informational and strategic purposes. While derived from rigorous analysis, market variables may affect outcomes. Clients retain ultimate discretion over their financial and investment decisions.
4. Vendor & Maintenance Authorization
In our capacity as property managers, OMBRAL LOGIC SYSTEMS is authorized to deploy third-party vendors for necessary repairs to preserve the structural integrity and safety of the premises. All expenditures exceeding the agreed CAPEX threshold require explicit owner approval, barring life-safety emergencies.
5. Indemnification & Liability
Clients agree to indemnify and hold harmless OMBRAL LOGIC SYSTEMS from claims arising out of inherent property defects, pre-existing environmental hazards, or tenant liabilities not resulting from the gross negligence or willful misconduct of the management team.
6. Termination of Management
Either party may terminate a property management contract given a standard 60-day written notice, ensuring a professional handover of rent rolls, security deposits, and maintenance logs to the successor management firm or property owner.
